Please Note:
1. Retail Investor shall mean an individual investor who places bids for shares of total value of not more than Rs.2 lakhs
2. Retail Investors have an Option to bid in “RI” “RIC” and/or “NII” category.
a. Retail Investors can bid in RI and RIC category Up to (i.e. less or equal to) Rs. 2 Lacs
b. Retail Investors can bid in NII category only above Rs. 2 Lacs
3. Multiple bidding will be allowed.
4. If the cumulative bid value of a retail investor in “RI” “RIC” and “NII” category exceeds Rs.2 lakhs, the bids in the “RI” category shall become ineligible.
5. If the cumulative bid value of a retail investor in “RI” and “RIC” across Exchanges exceeds Rs. 2 Lakhs, all such bids will not be eligible for allocation
6. Additionally, Retail Investors bidding in NII category will not be eligible for discount (if any) offered by Seller(s).
7. There is no change in rule and mechanism for bidding for Other Categories - NII, MF, IC, and OTHS.

The key functionalities of this module are described as under:
1. Trading Members can put bids for purchase of shares through bid entry screen or use the file upload facility.
2. Floor price may or may not be disclosed before start of the offer. In case of floor price is disclosed; orders/bids below floor price shall not be accepted. No price bands shall be applicable for the bids placed in the offer for sale.
3. Multiple bids from a single buyer shall be permitted.
4. Every bid shall be validated against Unique Client Code (UCC); currently used in the Equity/Derivatives segment of BSE.
5. Trading Members can bid using two types of margins for their clients namely, 100% upfront margin and 0% Margin (no margin).
6. Institutional Investors have an option to pay for 100% upfront margin or 0% Margin (no margin). Whereas, Non Institutional Investors have to pay 100% margin only.
7. The following orders shall be valid in the OFS window:
7.1. Orders with 100% of margin paid upfront by institutional investors and non-institutional investors. Such orders can be modified or cancelled at any time during the trading hours.
7.2. Orders without paying upfront margin by institutional investors only. Such orders cannot be modified or cancelled by the investors or stock brokers, except for making upward revision in the price or quantity.
8. Clearing Corporation shall collect 100% margin in cash from non-institutional investors. In case of institutional investors who place orders/bids with 100% of margin upfront, custodian confirmation shall be within trading hours.
9. In case of institutional investors who place orders without upfront margin (0% margin), custodian confirmation shall be as per the existing rules for secondary market transactions i.e. Custodians can confirm the bids till T+1 day (T being the trading day)
9.1. Modification and Cancellation of OFS bids: Bids can be modified or cancelled manually and via bulk upload facility. In case of order/bid modification/deletion such funds shall be released / collected on real time basis.
